Terms of Service

These Terms of Service ("Terms" or "Agreement") are entered into between Where's My Wrench ("Company", "we", "our", or "us") and the entity or person ("Customer", "you", or "your") accessing or using the Service. This Agreement governs your use of the Where's My Wrench tool tracking application and related services.

BY CLICKING "I AGREE", ACCESSING OR USING OUR SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL THE TERMS OF THIS AGREEMENT, DO NOT ACCESS OR USE THE SERVICE.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of that organization. In that event, "you" and "your" will refer to that organization.

📱 Mobile App Users: These Terms are accessible from within the app at Settings → About → Terms of Service. The app will always link to the most current version at wheresmywrench.com/terms.

Age Requirement: You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you are at least 16 years of age.

Modifications to Terms: We may modify these Terms from time to time. Unless otherwise specified, changes become effective upon your next subscription renewal or continued use after notification. We will provide notice through the Service, email, or other means.

1. Service Overview

1.1 What We Provide

Where's My Wrench is a comprehensive tool inventory management application ("Service") that includes:

  • Mobile applications for iOS and Android devices
  • Web application accessible through browsers
  • Tool recognition using machine learning (ML/AI)
  • Offline-first functionality with optional cloud synchronization
  • Photo documentation and organization features
  • Maintenance tracking and reminders
  • Multi-user support for teams and businesses
  • Analytics and reporting features

1.2 Service Tiers

We offer multiple service tiers:

2. Accounts and Registration

2.1 Account Creation

To access certain features of the Service, you must create an account. When creating an account:

  • You must provide accurate, current, and complete information
  • You must maintain and update your information to keep it accurate
  • You must choose a strong, unique password
  • You must not share your account credentials with others
  • You are responsible for all activity under your account

2.2 Account Security

You are responsible for safeguarding your account. We recommend enabling two-factor authentication when available. You must notify us immediately at security@wheresmywrench.com if you become aware of any unauthorized use of your account.

3. Subscriptions and Payment

3.1 Subscription Terms

  • Billing Cycle: Subscriptions are billed monthly or annually in advance
  • Auto-Renewal: Subscriptions automatically renew unless cancelled
  • Price Changes: We may change prices with 30 days notice
  • Taxes: Prices exclude applicable taxes which will be added

3.2 Payment Processing

Payment processing is handled by Stripe. We do not store credit card numbers. By providing payment information, you authorize us to charge your payment method for all fees incurred.

3.3 Cancellation and Refunds

  • You may cancel your subscription at any time through account settings
  • Cancellation takes effect at the end of the current billing period
  • No refunds for partial months or unused time
  • Downgrading may result in loss of features or data
Important: Free tier users may see advertisements and affiliate product recommendations. These help support our Service and cannot be disabled without upgrading to a paid tier.

4. Permitted Use and Restrictions

4.1 Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business or personal purposes in accordance with these Terms.

4.2 Restrictions

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Share, sell, or transfer your account access to others
  • Reverse engineer, decompile, or disassemble the Service
  • Copy, modify, or create derivative works of the Service
  • Remove or alter any proprietary notices or labels
  • Use the Service to develop a competing product or service
  • Interfere with or disrupt the Service or servers
  • Circumvent any access restrictions or security measures
  • Use automated systems or bots to access the Service
  • Transmit viruses, malware, or other harmful code
  • Violate the privacy or rights of other users
  • Use the Service for high-risk activities where failure could cause harm

4.3 Usage Limits

We may impose limits on storage, API calls, or other resources. Exceeding limits may result in additional charges or service suspension.

5. User Content and Data

5.1 Your Content

"User Content" means any data, information, or material you submit to the Service, including:

  • Tool information (names, descriptions, categories)
  • Photos and documentation
  • Maintenance records and notes
  • Location and organization data
  • Feedback and communications

5.2 Rights in User Content

You retain ownership of your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and display your User Content solely as necessary to provide the Service to you.

5.3 Aggregated Data

Business Use of Data: We may create and use aggregated, anonymized data derived from your use of the Service for business purposes, including market analysis, service improvement, and industry insights. This aggregated data will not identify you personally and may be licensed to third parties.

5.4 Data Storage

  • Local Storage: By default, your tool data is stored locally on your device
  • Cloud Sync: Optional cloud storage requires explicit activation
  • Data Location: Cloud data may be stored in the United States or Germany
  • Backup: You are responsible for backing up your local data

5.5 Content Standards

You agree that your User Content will not:

  • Violate any law or regulation
  • Infringe any third-party rights
  • Contain viruses or harmful code
  • Be false, misleading, or fraudulent
  • Be obscene, offensive, or inappropriate

6. Machine Learning and Automated Services

6.1 Tool Recognition

Our Service uses machine learning to identify and categorize tools from photos:

  • Current accuracy is approximately 70-75%
  • All ML suggestions can be overridden by you
  • Accuracy may improve over time with usage
  • Processing may occur on-device or on our servers

6.2 Smart Recommendations

Affiliate Disclosure: The Service includes product recommendations that may contain affiliate links. We may earn commissions from qualifying purchases. These recommendations help support the Service and keep the free tier available.

6.3 No Guarantee of Accuracy

ML features are provided "as is" without warranty. We do not guarantee the accuracy, completeness, or reliability of any ML-generated suggestions. You should verify all ML suggestions before relying on them.

7. Third-Party Services and Affiliate Links

7.1 Third-Party Integrations

The Service may integrate with third-party services (payment processors, app stores, etc.). Your use of these services is governed by their terms and privacy policies.

7.2 Affiliate Links and Advertisements

  • The Service contains affiliate links to third-party products
  • We may earn commissions from purchases made through these links
  • Affiliate relationships do not affect our editorial recommendations
  • Free tier users will see these recommendations by default
  • Paid tiers may have options to reduce or disable recommendations

7.3 Third-Party Content

We are not responsible for third-party content, products, or services accessed through the Service. Any purchases or interactions with third parties are solely between you and the third party.

8. Intellectual Property Rights

8.1 Our Property

The Service, including all software, text, images, graphics, logos, and other content ("Service Content"), is owned by us or our licensors and is protected by copyright, trademark, and other laws. You may not use Service Content except as permitted in these Terms.

8.2 Trademarks

"Where's My Wrench" and our logos are our trademarks. You may not use our trademarks without our prior written permission.

8.3 Open Source

Certain components of the Service may be subject to open source licenses. Nothing in these Terms limits your rights under those licenses.

9. Feedback and Suggestions

We welcome feedback! If you provide feedback, suggestions, or ideas ("Feedback") about the Service:

  • You grant us a perpetual, worldwide, royalty-free license to use your Feedback
  • We may use Feedback for any purpose without obligation to you
  • You represent that your Feedback does not violate any third-party rights
  • Feedback submitted through our in-app system may be anonymous
Feedback System: Use Settings → Send Feedback to share ideas, report bugs, or suggest improvements. Your feedback helps make the Service better for everyone!

10. Warranties and Disclaimers

10.1 Service Provided "AS IS"

DISCLAIMER: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee

We do not warrant that:

  • The Service will meet your requirements
  • The Service will be uninterrupted, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service is free of viruses or harmful components

10.3 High-Risk Activities

The Service is not intended for use in high-risk activities where failure could lead to death, personal injury, or environmental damage. You assume all risk for such use.

10.4 Tool Tracking Disclaimer

We do not guarantee that using the Service will prevent tool loss, improve tool management, or provide any specific business outcomes. The Service is a tool to assist with organization, not a guarantee of results.

11. Limitation of Liability

11.1 Consequential Damages Waiver

LIMITATION: IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.

11.3 Exceptions

Some jurisdictions do not allow limitation of certain damages. If these laws apply to you, some or all of the above limitations may not apply.

12. Indemnification

You agree to indemnify, defend, and hold harmless Where's My Wrench, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content

13. Term and Termination

13.1 Term

These Terms remain in effect while you use the Service. For paid subscriptions, the term continues until cancelled by either party.

13.2 Termination by You

You may terminate your account at any time by:

  • Cancelling your subscription in account settings
  • Deleting your account (this action is permanent)
  • Ceasing to use the Service

13.3 Termination by Us

We may terminate or suspend your account immediately if:

  • You breach these Terms
  • Your account is 30+ days overdue
  • You engage in fraudulent or illegal activity
  • Your use harms other users or the Service
  • Required by law

13.4 Effect of Termination

  • Access to the Service will cease immediately
  • Cloud data may be deleted after 30 days
  • Local data remains on your device
  • No refunds for unused subscription time
  • Sections that should survive will remain in effect

13.5 Survival

The following sections survive termination: User Content licenses, Warranties and Disclaimers, Limitation of Liability, Indemnification, and General Provisions.

14. Modifications to Service

We may modify the Service at any time, including:

  • Adding or removing features
  • Changing pricing or subscription tiers
  • Updating system requirements
  • Discontinuing parts of the Service

We will provide reasonable notice of material changes, but we are not obligated to maintain any particular feature or functionality.

15. Beta Features and Testing

15.1 Beta Features

We may offer access to beta, preview, or experimental features ("Beta Features"). Beta Features are provided:

  • For testing and evaluation purposes only
  • Without any warranties or guarantees
  • May be incomplete or contain errors
  • May be discontinued at any time
  • May never be released publicly

15.2 Beta Feedback

If you participate in beta testing, we may collect additional diagnostic data and feedback. Your participation is voluntary and can be ended at any time.

Pre-Launch Users: If you're using the Service before official app store launch, you're participating in our beta program and agree to these beta terms.

16. Export Controls

The Service may be subject to U.S. export control laws. You agree to comply with all applicable export and import laws and regulations. You represent that you are not:

  • Located in a country subject to U.S. embargo
  • On any U.S. government restricted party list
  • Using the Service for prohibited end uses

17. General Provisions

17.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

17.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, except you may assert claims in small claims court if eligible.

17.3 Class Action Waiver

YOU AGREE TO BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS PART OF ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

17.4 Entire Agreement

These Terms, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and us regarding the Service.

17.5 Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.6 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

17.7 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

17.8 Force Majeure

We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, pandemics, or acts of civil or military authorities.

18. Definitions

In these Terms, the following definitions apply:

  • "Account" - Your user account for accessing the Service
  • "Affiliate Links" - Links to third-party products that may generate commissions
  • "Beta Features" - Experimental or pre-release features
  • "ML/AI" - Machine learning and artificial intelligence features
  • "Service" - The Where's My Wrench application and all related services
  • "User Content" - Any data, content, or materials you submit
  • "Subscription Term" - The period for which you have paid for the Service
